These Terms and Conditions of Use (the “Terms”) are a binding contract between you and NapBox (“NapBox,” “we,” “our,” and “us”). These Terms govern your access to and use of our website, products, and services. 

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability. By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service, you should not use or access our Services.

1. Products & Services

NapBox provides a range of modular solutions, including but not limited to:

  1. Sleep Pods Sales – Customizable, space-efficient modular beds for commercial use.

  2. Office Pods Sales – Sound-insulated modular rooms and focus booths designed for workplaces (e.g., meeting pods, phone booths, individual focus pods).

  3. Assembly & Installation – Professional setup and installation of NapBox pods.

  4. Maintenance & Repairs – Scheduled and on-demand services to ensure optimal functionality and product longevity.

  5. Accessories & Add-ons – Compatible accessories, including fans, lighting, storage solutions, and smart integration features.

  6. Custom Design Services – Tailored pod solutions developed to customer specifications.

Product Representation

We make every effort to provide accurate descriptions of our products and services. However:

  • Colors, finishes, and appearances may vary depending on your device settings.

  • We do not guarantee that products will fully match online depictions or meet personal expectations.

  • Descriptions may change at any time without notice.

  • We may discontinue or limit products at our discretion.

2. Access and Eligibility

2.1 Legal Capacity
By placing an order, you confirm you have legal capacity to enter into a binding agreement. If you act on behalf of an entity, you represent that you are authorized to bind that entity.

2.2 Age Requirement
You must be at least the age of majority in your state or province of residence.

2.3 Service Restrictions
We may refuse service, cancel orders, or restrict access if you violate these Terms or engage in fraudulent, abusive, or harmful behavior.

2.4 Usage Restrictions
Products and services are for business use only. Unauthorized resale is prohibited.

2.5 Legal Compliance
You may not use our services if prohibited by law. NapBox is not responsible for unlawful use.

2.6 Account Information
You must provide accurate, current, and complete information when requested.

2.7 Account Security
You are responsible for maintaining account security and activity. Accounts may not be sold, transferred, or assigned.

3. Orders and Payments

3.1 Placing an Order
Orders may be placed via our website, authorized retailers, or directly with NapBox. All orders require acceptance and are subject to availability. Custom orders require specifications before production.

3.2 Pricing & Payment

  • Prices are in U.S. dollars, exclusive of taxes and fees unless stated otherwise.

  • Accepted payment methods: credit/debit cards, bank transfers.

  • Full payment is required prior to shipment unless otherwise agreed.

  • Custom projects may require a non-refundable deposit.

3.3 Order Confirmation & Changes
Confirmation will be sent by email after payment. Modifications or cancellations must be made within 24 hours. Custom orders cannot be canceled once production begins.

3.4 Fraud Prevention
We may cancel or delay orders flagged for fraud. Verification may be required.

3.5 Late or Failed Payments
Unresolved failed payments cancel orders. Installment plans (if available) require timely payments.

4. Shipping and Delivery

4.1 Shipping Locations
Delivery is to the address provided. International shipping may incur fees and customs obligations.

4.2 Processing & Delivery Times
Orders process within 24 hours after payment confirmation. Delivery varies by location and availability. Custom orders require additional time.

4.3 Shipping Costs
Standard shipping and assembly fees apply. Additional fees apply for special circumstances (stairs, off-hours, etc.).

4.4 Delivery Requirements
Customers must ensure site readiness, including access, power supply, flooring, and infrastructure.

4.5 Inspection
Customers must inspect deliveries within 7 days and report issues.

4.6 Scheduling & Failed Deliveries
Delivery changes require 2 business days’ notice. Failed deliveries due to lack of access or readiness may incur additional fees.

4.7 Risk of Loss
Risk transfers to the customer once shipped. We are not responsible for carrier delays or customs issues.

4.8 Placement & Scope Confirmation
Placement and scope must be confirmed before assembly. Further changes may result in additional costs.

4.9 Third-Party Providers
NapBox may use third-party providers. We are not responsible for their errors or delays.

5. Custom Designs

5.1 Design Requirements – Custom orders require detailed specifications.

5.2 Deposits – A 50% non-refundable deposit is required before work begins.

5.3 Timelines – Production estimates vary; delays will be communicated.

5.4 No Returns – Custom orders cannot be canceled or refunded after production begins. Errors caused by NapBox will be corrected at no cost.

5.5 Intellectual Property – Custom designs remain NapBox’s property. Customers may not copy or reproduce designs without consent.

6. Maintenance & Repairs

6.1 General Maintenance – Customers must follow maintenance guidelines; failure may void warranty.

6.2 Repair Services – Warranty and paid repairs are available; may be on-site or at a facility.

6.3 Requests – Repairs require a request form with details and photos.

6.4 On-Site Repairs – Customer must provide access; otherwise, fees may apply.

6.5 Non-Warranty Repairs – Fees apply with estimates provided in advance.

6.6 Parts & Upgrades – Available separately; professional installation may be required.

6.7 Exclusions – NapBox does not handle power, sprinklers, or seismic anchorage.

6.8 Customer Responsibility – Customer is responsible for disconnecting/reconnecting building systems.

6.9 Limitation of Liability – NapBox is not liable for damages from unauthorized repairs or poor maintenance.

7. Restrictions on Use

You agree not to:

  • Infringe intellectual property rights.

  • Engage in illegal or abusive conduct.

  • Use NapBox trademarks without permission.

  • Circumvent security or disrupt services.

8. Returns and Refunds

8.1 General Policy – All sales are final unless covered by this policy.

8.2 Cancellations – Must be requested within 24 hours; not permitted for custom orders once production begins.

8.3 Return Eligibility – Accepted only for defective, damaged, or incorrect items.

8.4 Process – Notify NapBox within 3 business days for approval.

8.5 Refunds – Issued after inspection, within 10–15 business days.

8.6 Non-Returnable Items – Includes custom products, used items, or misused items.

9. Warranty

9.1 Coverage – Limited warranty against defects in materials and workmanship.

9.2 Exclusions – Wear, misuse, or unauthorized modifications are excluded.

9.3 Claims – Proof of purchase and issue details are required.

9.4 Remedies – NapBox may repair or replace defective units.

9.5 Voidance – Warranty is void if units are moved, altered, or improperly installed.

10. Intellectual Property

All content, products, and designs are owned by NapBox or its licensors and protected by law. Unauthorized use may result in legal action.

11. Feedback

By submitting feedback, you grant NapBox a perpetual, worldwide, royalty-free license to use it. You represent you have the rights to provide such feedback.

12. Errors and Inaccuracies

We reserve the right to correct errors or omissions, including pricing or product details, without notice.

13. Prohibited Uses

You may not use the Services unlawfully, infringe intellectual property, harass others, transmit malware, impersonate, or engage in prohibited conduct.

14. Termination

We may terminate your access at any time without notice. Certain obligations (e.g., Intellectual Property, Indemnification, Limitation of Liability) survive termination.

15. Disclaimer of Warranties

Except as expressly provided in these Terms or in a written warranty accompanying a product, all NapBox products and services are provided “as is” and “as available.” This means:

  • We make no promises that products or services will meet your personal expectations beyond what is specifically guaranteed in writing.

  • We do not guarantee that our website, ordering system, or services will always be available without interruption, errors, or delays.

  • We do not provide implied warranties (such as warranties of merchantability, fitness for a particular purpose, or non-infringement) unless required by law or expressly stated in writing.

If a specific warranty applies to your purchase (for example, the limited product warranty described in Section 9), that warranty will govern. Outside of those express warranties, your use of our products and services is at your own risk.

16. Limitation of Liability

To the fullest extent permitted by law, NapBox and its affiliates will not be responsible for certain types of damages or losses that may result from your use of our products or services. Specifically:

  • No indirect or incidental damages – We are not liable for damages that happen as a side effect of an issue (for example, loss of sleep, inconvenience, or disruption to business operations).

  • No consequential damages – We are not responsible for downstream losses, such as lost profits, lost revenue, lost savings, or loss of data, even if caused by a product issue.

  • No punitive damages – We are not liable for damages intended to punish us, even if a dispute arises.

If something goes wrong with a NapBox product or service, our responsibility is limited to repairing, replacing, or refunding the product under the terms of our warranty or return policy. We are not responsible for additional losses that may occur because of the problem.

17. Indemnification

You agree to protect, defend, and compensate NapBox, along with its partners, affiliates, employees, and contractors, if a claim, loss, or expense arises because of your actions. This includes:

  • Breach of these Terms – If you violate these Terms of Service and it causes a legal or financial issue for NapBox.

  • Unlawful use – If you use our products or services in a way that is illegal or unauthorized.

  • Third-party claims – If someone else makes a claim against NapBox because of how you used our products or services.

If your misuse of a NapBox product or service causes damage, a lawsuit, or costs for NapBox, you are responsible for covering those costs (including reasonable attorney’s fees).

18. General

18.1 NapBox may, from time to time, change these Conditions without notice. You are advised to check NapBox’s website for the latest version of these Conditions before ordering our Products or using our Services.

18.2 No person who is not a party to the Contract will have any rights in connection with it.

18.3 NapBox may transfer its rights and obligations under the Contract to another organization but will always inform the Guest if this happens and this will not affect the Guest’s rights under the contract.

18.4 No failure by NapBox to enforce these Conditions shall constitute a waiver of the right to subsequently enforce that provision or any other provision of these Conditions. Such failure shall not be deemed to be a waiver of any preceding or subsequent breach and shall not constitute a continuing waiver.

18.5 If any provision of these Conditions is held by any competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of these Conditions and the remainder of the provision in question shall not be affected.

18.6 These Contract (including any non-contractual matters and obligations arising therefrom or associated therewith) shall be governed by, and construed in accordance with, the laws of New York State will have jurisdiction to deal with any disputes (including in relation to non-contractual matters) arising in connection with it.
